Terms and Conditions for Providers and Platform Use
1. Scope and parties
These terms and conditions apply to use of the Vebelio platform by businesses within the meaning of Section 14 of the German Civil Code, including companies, coaches, experts, academies and other commercial or self-employed providers (each a "Provider").
The contractual partner is Vebelio, operated by Matthias Stein-Schilling, Hallig-Hooge-Stieg 12, 22846 Norderstedt, Germany ("Vebelio" or "Platform Operator"). These terms do not apply to consumers within the meaning of Section 13 of the German Civil Code.
2. Subject matter and platform role
Vebelio provides a technical platform through which Providers may manage and provide their own content, offers, memberships, community areas, courses, files, messages and other agreed functions. The scope of service is determined by the booked plan, offer and features displayed in the Provider area.
Vebelio provides the technical infrastructure. Where a Provider offers its own services to end customers, the Provider is generally the contractual partner and is responsible for price, service description, performance, customer communications, legal compliance and tax treatment. Any exception must be expressly stated in the relevant offer.
3. Registration and formation of contract
Provider use requires complete registration and activation. The Provider must provide accurate, complete and current information, in particular its company name, legal form, address, authorised representatives, contact, billing, tax and payment data, as well as required legal documents.
The contract is formed when Vebelio activates the Provider account, confirms a booked plan or makes the platform service available. Vebelio may request evidence of identity, authority, payment arrangements, abuse prevention or compliance with legal duties and may withhold activation until this is provided.
4. Plans, fees and payment
Prices, term, service limits, optional features, due dates and any transaction or other usage fees are determined exclusively by the plan, individual offer or price schedule applicable when the contract is formed. All prices are net of statutory VAT unless stated otherwise.
The Provider maintains a valid payment method where required for its plan. In the event of payment default, Vebelio may, after reasonable notice, temporarily restrict features or the Provider area. Outstanding claims remain unaffected.
5. End-customer payments and invoices
For Provider offers, the seller, payee, invoice issuer and payment-service provider are shown in the relevant checkout. The Provider supplies all information required for this accurately and completely and remains responsible for its own tax and legal duties unless expressly agreed otherwise.
Technical support for checkout, payment status, invoices or access does not transfer tax, consumer-law or other Provider obligations. Payment confirmations and access activation follow the configured payment and platform flows.
6. Provider obligations
The Provider uses the platform lawfully and in accordance with the contract. In particular, it ensures that its content, offers, prices, performance claims, advertising, legal documents and customer communications are lawful, accurate and complete. It respects copyright, trade-mark, personality, data-protection, competition and consumer-protection rights and keeps access credentials confidential.
The Provider must not circumvent security measures, use third-party credentials, deploy automated attacks or impermissible scraping, and must grant access only to authorised staff. Access that is no longer needed must be removed without undue delay.
7. Trading, financial and other regulated content
The Provider is solely responsible for the legal compliance of trading, financial, market, securities, derivatives or crypto-asset content. In particular, it must not provide unauthorised investment advice, manipulate markets, use insider information unlawfully or make misleading profit or success claims. It provides required risk disclosures, disclosures of conflicts and regulatory information.
Vebelio does not review such content for professional or regulatory compliance and does not owe economic success, reach, customer growth or specific revenue.
8. Rights in content and platform
The Provider retains rights in its own content. It grants Vebelio the rights necessary to operate, store, technically process, convert, secure, display and make that content available to authorised users. The grant applies for the contract term and afterwards only where required for winding up, evidence, security or statutory duties.
All rights in the platform, software, brands, design, database structure and technical infrastructure remain with Vebelio. The Provider receives a simple, non-exclusive, non-transferable right of use within its plan. It must not copy, decompile or reproduce the platform, circumvent protective measures or resell access.
9. Data protection and end-customer data
The Provider is responsible for the lawfulness of its own processing of personal data. Where Vebelio processes personal data on the Provider's behalf, the Data Processing Agreement under Article 28 GDPR additionally applies. The Provider processes end-customer data only for specified purposes and with an appropriate legal basis.
It must not export, sell, disclose or use end-customer data for unlawful advertising without authorisation. Special categories of personal data are permitted only in accordance with the DPA and a sufficient legal basis.
10. Visibility, changes and availability
Public or internal search, recommendation, feed and marketplace functions do not create an entitlement to a particular placement, visibility, reach or customer number. Vebelio may develop presentation and criteria objectively and may restrict offers for legal, security, technical or quality reasons.
Vebelio endeavours to operate the platform reliably. Uninterrupted availability is not owed unless a separate service-level agreement is agreed. Maintenance, updates, security measures, third-party or network outages, force majeure and technical faults may cause restrictions.
11. Suspension and termination
Vebelio may temporarily suspend content, offers, access or features where there are concrete indications of legal infringements, data-protection or security risks, misuse, material complaints, misleading content or breach of these terms. Where legally and technically possible, Vebelio will inform the Provider of the reason and expected duration.
Term and ordinary termination are determined by the booked plan or individual agreement. The right to extraordinary termination for good cause remains unaffected. Good cause includes, in particular, a material or repeated breach of these terms, continuing payment default, unlawful content or serious security or data-protection breaches.
12. End of contract
After the contract ends, Vebelio may suspend the Provider area and associated access. The Provider must secure required data in time using available export functions. Data is deleted or retained under contractual, statutory and data-protection requirements; statutory retention, billing, security and legal-defence interests remain unaffected.
13. Indemnity
The Provider indemnifies Vebelio against third-party claims arising from its unlawful or non-contractual use, content, offers, advertising claims, data-protection breaches or other breaches of duty. This includes reasonable legal-defence costs. The indemnity does not apply to the extent that Vebelio caused the claim itself.
14. Liability
Vebelio is liable without limitation for intent, gross negligence and injury to life, body or health. In the event of a slightly negligent breach of an essential contractual obligation, liability is limited to foreseeable damage typical for the contract. Essential contractual obligations are obligations whose performance enables proper performance of the contract and on whose compliance the Provider may regularly rely.
Mandatory statutory liability remains unaffected. Otherwise, to the extent permitted by law, Vebelio is not liable for indirect damage, lost profits, lost revenue, lost customers or reputational harm.
15. Confidentiality and communications
The parties keep non-public business, contract, price, customer and technical information confidential. This duty continues after the contract ends. Statutory disclosure duties remain unaffected.
Contract-related communications are generally electronic, including through the email address on file, the Provider account or platform messages. The Provider keeps its contact and billing details current.
16. Amendments and final provisions
Vebelio may develop the platform and these terms further where objectively justified and reasonable for the Provider. Material changes are communicated in text form in good time; statutory and contractual rights to object or terminate remain unaffected.
German law applies. The place of jurisdiction, where legally permissible, is Vebelio's registered seat. If any provision is or becomes ineffective, the remaining provisions remain effective and statutory provisions apply instead.
